Nippon Yusen Kabushiki Kaisha (NYK) has announced it has executed a definitive agreement with ANAHD whereby NYK and ANAHD have agreed to carry out the transaction for the transfer of all of shares in NCA to ANAHD through a share exchange, and upon the consummation of this transaction, ANAHD will become the wholly owning parent company and NCA will become the wholly owned subsidiary.
NYK also has announced that NCA has executed a share exchange agreement with ANAHD regarding the Share Exchange.
As a result, NCA will no longer be one of our consolidated subsidiaries and will become a wholly owned subsidiary of ANAHD as of the effective date of the Share Exchange.
The share transfer is due to take place on October 1, 2023 following approval of NCA’s shareholders and will see ANA become a wholly owning parent company and NCA become a wholly-owned subsidiary.
NCA currently operates a fleet of eight Boeing 747-8F freighter aircraft.

Flight operations to the United States began in 1985, and over the years Nippon Cargo Airlines (NCA) has been the only international cargo airline based in Japan. During that time, we have received the continual support of our customers, stockholders, and clients, and we have been able to remain accident-free.
NCA received the Business Improvement Order and the Operations Improvement Order from the MLIT due to the violations of Civil Aeronautics Law of Japan on July 2018. We formulated and implemented various measures to prevent reoccurrences and to enhance our safety management. All executives and employees will strive to comply with laws, regulations, and rules, and to reinforce safety awareness.
On March 7, 2023, it was announced that Nippon Yusen Kabushiki Kaisha and ANA HOLDINGS INC. have reached a basic agreement on the transfer of all shares of our company held by Nippon Yusen Kabushiki Kaisha, a 100% shareholder of our company, to ANA HOLDINGS INC. This transaction is a change of the shareholder from our point of view and our company will continue to exist as Japanese airline as before. We recognize that it is always our mission to continue safe and stable operation so that we meet increased expectations from society for air cargo flights and freighters as awareness of values we provide is renewed during COVID-19 epidemic.
