Wheels Up officially closes acquisition of Air Partner plc

Wheels Up Experience Inc., the leading brand in private aviation, has announced it has officially closed its acquisition of Air Partner plc, a U.K.-based global aviation services group with operations in 18 locations and four continents. Under the terms of the transaction, and following stockholder and regulatory approval, Wheels Up has acquired the entire issued share capital of Air Partner for 125 pence per share, equivalent to an enterprise value of approximately $109 million.

Founded in 1961, Air Partner is a global aviation services company providing private jet, group and freight charter and aviation safety & security solutions to industry, commerce, governments and private individuals, across civil and military organizations.

In addition to expanding Wheels Up’s core private travel offering internationally, the acquisition also adds group charter, freight and safety & security services to the Wheels Up portfolio. The Air Partner leadership team – including CEO Mark Briffa – will continue in their roles going forward.

Over time, the company expects to operate all of its core private aviation services under a unified, global Wheels Up brand, building on its established equity as a recognized and trusted private aviation provider. The Air Partner group’s subsidiaries – Baines Simmons, Redline Assured Security, CHS Engineering Services and Kenyon International Emergency Services – will continue to operate their established brands under the broader Wheels Up umbrella.

Wheels Up expects the integration of Air Partner’s historically profitable business to be accretive to contribution margin and adjusted EBITDA in the first year. Air Partner will maintain its Gatwick, U.K., headquarters.

Wheels Up to acquire Air Partner

Wheels Up Experience Inc., the leading brand in private aviation, today announced it has reached an agreement to acquire Air Partner PLC, a U.K.-based global aviation services group with operations in 18 locations and across four continents. Under the terms of the transaction, Wheels Up will acquire the entire issued and to be issued ordinary share capital of Air Partner for 125 pence per share, equivalent to an enterprise value of approximately $107 million. The acquisition is expected to close later in the first quarter subject to shareholder and regulatory approvals.

Air Partner will provide Wheels Up the ability to expand its service offerings internationally, and Wheels Up expects Air Partner to leverage Wheels Up’s investments in operations, service and technology on a global basis with an active and engaged customer base. The proposed acquisition will enhance Wheels Up’s brand equity and will also add an experienced global team from a company with more than 60 years of continuous operations in private aviation.

Wheels Up to resume Nantucket summer shuttle service

Wheels Up announced today it is resuming its summer shuttle service with round trip flights from Westchester County Airport (HPN) to Nantucket Memorial Airport (ACK), beginning Friday, May 21, 2021 through Labor Day weekend.

The shuttle will operate one-way flights each Friday at 5 PM from HPN to ACK. Return flights will depart ACK for HPN each Sunday at 5 PM. Holiday weekends will operate on a special schedule departing Thursdays and returning Mondays.

Wheels Up and Delta close groundbreaking transaction, combining Delta Private Jets with Wheels Up

Delta Air Lines and Wheels Up, the leading brand in private aviation, have closed on a previously announced groundbreaking transaction and partnership agreement.

The closing officially combines Delta Private Jets (DPJ) with Wheels Up, pairing Wheels Up’s membership programs, innovative digital platform and world-class lifestyle experiences with Delta Private Jets’ renowned reliability, safety, service and scale. The combination creates one of the world’s largest owned and managed fleets of nearly 200 private aircraft, ranging from the King Air 350i to large-cabin jets. With this expanded private fleet and access to Delta’s global network, Wheels Up is strategically positioned to fulfill every travel need of its now 8,000+ members and customers.

In the weeks ahead, Wheels Up and Delta will be communicating directly with customers to roll out cross-platform partnership benefits and other program features that cannot be found anywhere else within the private aviation industry.

As part of this transaction Delta’s Chief Operating Officer, Gil West, has joined the Wheels Up Board of Directors.

The Wheels Up and Delta Private Jets teams will be working together to ensure a seamless transition for all DPJ employees and customers. DPJ employees will continue to operate out of their current location in Cincinnati.

Over the next year, Wheels Up and Delta will continue introducing exciting cross-platform benefits and features, all designed to add more value for their members and customers.

Financial terms of the transaction will not be disclosed, and there is no expected impact to Delta’s 2020 financial guidance.
