Frontier Airlines to buy Spirit Airlines for $6.6 billion

2021 "Spirit Untamed" promotional livery

Frontier Airlines is about to get a lot larger:

Frontier Airlines has agreed to buy Spirit Airlines for $25.83 a share reflecting a cash deal that will be valued at $6.6 billion, including debt.ย

Spirit equity stockholders will receive 1.9126 shares of Frontier stock plus $2.13 in cash for each Spirit share they own. The transaction represents a 19% premium to Spirit’s closing price on Friday.

Spirit Airlines will be merged into Frontier Airlines.

Frontier Airlines issued this statement:

Spirit Airlines, Inc. and Frontier Group Holdings, Inc., parent company of Frontier Airlines, Inc., today announced a definitive merger agreement under which the companies will combine, creating Americaโ€™s most competitive ultra-low fare airline.

Together, Frontier and Spirit expect to change the industry for the benefit of consumers, bringing more ultra-low fares to more travelers in more destinations across the United States, Latin America and the Caribbean, including major cities as well as underserved communities. The stronger financial profile of the combined company will empower it to accelerate investment in innovation and growth and compete even more aggressively, especially against the dominant โ€œBig Fourโ€1ย airlines, among others.

William A. Franke, the Chair of Frontierโ€™s Board of Directors and the managing partner of Indigo Partners, Frontierโ€™s majority shareholder, noted that Indigo has a long history with both Spirit and Frontier, and is proud to partner with them in creating a disruptive airline. โ€œWe worked jointly with the Board of Directors and senior management team across both carriers to arrive at a combination of two complementary businesses that together will create Americaโ€™s most competitive ultra-low fare airline for the benefit of consumers.โ€

Consumers Win With More Ultra-Low Fares to More Places

The combined airline is expected to:

  • Deliver $1 billion in annual consumer savings.
  • Offer more than 1,000 daily flights to over 145 destinations in 19 countries, across complementary networks.
  • Expand with more than 350 aircraft on order to deliver more ultra-low fares.
  • Increase access to ultra-low fares by adding new routes to underserved communities across the United States, Latin America and the Caribbean.
  • Deliver even more reliable service through a variety of operational efficiencies.
  • Expand frequent flyer and membership offerings.

Team Members Win With Expanded Opportunities and Increased Stability

  • By 2026 Spirit and Frontier expect to add 10,000 direct jobs and thousands of additional jobs at the companiesโ€™ business partners.
  • Given the growth of the combined company, it is expected that all current team members will have an opportunity to be a part of the combined airline.
  • Team Members of the combined airline will have better career opportunities and more stability as part of the most competitive ultra-low fare airline in the United States.

Sustainability Wins With Americaโ€™s Greenest Airline

Frontier and Spirit will be Americaโ€™s Greenest Airline, providing nationwide access to sustainable and affordable air travel. The combined airline will have the youngest, most modern and fuel-efficient fleet in the United States, featuring the largest fleet of A320neo family aircraft of any airline in the country. The combined airline is expected to achieve over 105 seat miles per gallon by 2025.

Shareholders Win With Superior Value Creation

The combination of Spirit and Frontier is expected to deliver enhanced value to shareholders of both companies.

  • On a combined basis, the company would have annual revenues of approximately $5.3 billion based on 2021 results.
  • Once combined, Frontier and Spirit expect to deliver annual run-rate operating synergies of $500 million once full integration is completed, which will be primarily driven by scale efficiencies and procurement savings across the enterprise with approximately $400 million in one-time costs.
  • The combined airline is expected to have a strengthened financial profile, with a cash balance of approximately $2.42ย billion as of the end of 2021 on a combined basis.

Under the terms of the merger agreement, which has been unanimously approved by the boards of directors of both companies, Spirit equity holders will receive 1.9126 shares of Frontier plus $2.13 in cash for each existing Spirit share they own.ย This implies a value of $25.83 per Spirit share at Frontierโ€™s closing stock price of $12.39 on February 4, 2022, representing a premium of 19% over the February 4, 2022, closing price of Spirit, and a 26% premium based on the 30 trading-day volume-weighted average prices of Frontier and Spirit.ย The transaction values Spirit at a fully diluted equity value of $2.9 billion, and a transaction value of $6.6 billion when accounting for the assumption of net debt and operating lease liabilities.

Upon closing of the transaction, existing Frontier equity holders will own approximately 51.5% and existing Spirit equity holders will own approximately 48.5% of the combined airline, on a fully diluted basis, providing both Frontier and Spirit equity holders with substantial upside potential.

Bringing Our Airlines Together โ€“ Governance and Timing to Completion

The Board of Directors for the new airline will be comprised of 12 directors (including the CEO), seven of whom will be named by Frontier and five of whom will be named by Spirit. Mr. Franke will be Chairman of the Board of the combined company.

The merger is expected to close in the second half of 2022, subject to satisfaction of customary closing conditions, including completion of the regulatory review process and approval by Spirit stockholders. Frontierโ€™s controlling stockholder has approved the transaction and related issuance of shares of Frontier common stock upon signing of the merger agreement. The combined companyโ€™s management team, branding and headquarters will be determined by a committee led by Mr. Franke prior to close.

Frontier highlights endangered species in the Caribbean and Latin America, one to be selected for a tail

Frontier Airlines is celebrating its new growth in the Caribbean and Latin American markets with a campaign to underscore the plight of endangered animal species in six popular destinations the airline currently serves in the region. Consumers are encouraged to participate by choosing the next endangered animal to be featured on the tail of one of Frontierโ€™s new, ultra-efficient Airbus aircraft. Plus, voters are entered for a chance to win an unforgettable seven-night vacation to the tropical destination where the animal they selected is from. A second animal from among the six will be chosen at random to also be featured on another upcoming plane tail.

Frontier has rapidly expanded service in the Caribbean and Latin America and now offersย 65 routesย toย 17 tropical destinations. The remarkable growth has propagated lower fares and more convenient flights to some of the most popular vacation spots featuring world-class beaches, breathtaking views and, of course, exotic wildlife.

The six animals to choose from are:

Voting is open through Feb. 14, 2022 at 11:59 p.m. MST. Visitย https://1.shortstack.com/1zRmmgย for sweepstakes rules and to cast your vote.

About the Animals:

The Pink Headed Warbler โ€“ Guatemala

The Pink-Headed Warbler is endemic to the highlands of Guatemala and the neighboring Mexican state of Chiapas. It prefers to make its home in forests of oak, pine and fir, as well as shrubs. Classified as vulnerable, this population of warbler is threatened by habitat loss due to human development.

The Whistling Duck โ€“ Antigua

Restricted to the northern West Indies, the West Indian Whistling-Duck is among the rarest ducks in the Americas and is listed as Near Threatened by the International Union for the Conservation of Nature. This regional endemic has a total population of about 15,000 individuals but has suffered significant decline due to habitat loss, invasive mammalian predators and hunting.

The Two Toed Slothย โ€“ Costa Rica

Hoffmann’s two-toed sloth, also known as the northern two-toed sloth is a species of sloth from Central and South America. It is a solitary, largely nocturnal and arboreal animal, found in mature and secondary rainforests and deciduous forests. The decline of sloth populations is due to deforestation and urbanization, which have resulted in a multitude of risks for sloths. Due to habitat loss sloths are coming down to the ground more frequently, and are therefore vulnerable to dog attacks, car strikes, and poaching.

The Yellow Headed Parrot โ€“ Belize

The Belizean Yellow-headed Parrot has been experiencing severe population declines since at least the mid-1970s when poachers began aggressively pursuing them for the illegal pet trade.ย  The illegal harvest of parrot chicks and habitat loss of open pine savannas has left less than 7,000 YHPs in the wild today according to Bird Life International. Extinction in our lifetime is a real possibility for this species.

The Bahama Warblerย โ€“ The Bahamas

Only found on the islands of Abaco and Grand Bahama, this bird is a habitat specialist, being found almost exclusively in the pine forests of those islands. It is one of the 7 endemic bird species of The Bahamas, meaning it is only found here and nowhere else in the world. Unfortunately, The Bahama Warbler is becoming what we would call a “Climate Change Casualty.” After Hurricane Dorian ravished Abaco and Grand Bahama in 2019, these birds disappeared from Grand Bahama and have not been seen since. This led to the BNT writing to the IUCN to have this bird elevated to an endangered species.

The Coqui Llanero โ€“ Puerto Rico

Puerto Rican lowland coquรญ is the most recently discovered (2005), and it’s one of the smallest tree frogs in the world. Mature llaneros are no wider than a dime and generally yellowish in color, with reversed comma patterns on their sides. Their tiny stature squeezes their vocal range into the highest pitch of almost any frog – just barely audible to human ears. The U.S. Fish and Wildlife Service announced in Oct 2012 it would protect the rare, recently discovered Puerto Rican frog, the coquรญ llanero, as an endangered species under the Endangered Species Act. The protection includes 615 acres of freshwater wetland as critical habitat in northern Puerto Rico.

Frontier Airlines recounts its remarkable 2021 growth story

Frontier Airlines is reflecting on 2021 as an extraordinary year of growth for the 27-year-old Denver-based airline, which completed an initial public offering and became publicly traded on April 1, 2021.

Throughout 2021, Frontier added another 14 A320 family aircraft to its ultra-fuel-efficient all- Airbus fleet, furthering the companyโ€™s commitment to more sustainable flying. Frontier also expanded its โ€˜Low Fares Done Rightโ€™ route map by 132 routes, 21 destinations and nine countries.

“The Frontier team showed outstanding resilience and determination this year to accomplish unprecedented results,” said Barry Biffle, president and CEO, Frontier Airlines. “From becoming a publicly-traded company in April, to adding more than 130 routes and nearly ten international destinations to Frontierโ€™s route network, and ordering 91 new Airbus A321neo aircraft, weโ€™ve demonstrated the incredible growth our โ€˜Low Fares Done Rightโ€™ business model is capable of. As we look forward to 2022, weโ€™re excited to continue this momentum with new, greener, aircraft joining our fleet, and many more exciting new route opportunities for our customers.”

Frontier strengthened its position as Americaโ€™s Greenest Airline in 2021 through the announcement of multiple strategic agreements, including a deal with manufacturer Pratt & Whitney for ultra-efficient GTF engines to power 134 Airbus A320neo family aircraft, the launch of 30% lighter Recaro seats onboard new aircraft, and a 91-aicraft order of Airbusโ€™ A321neo, featuring advanced fuel-saving technology and industry-leading operating economics. These new partnerships, and the order for additional aircraft to satisfy Frontierโ€™s growing network needs, put the airline on the path to triple in size by 2029.

Above Photo: MIA. Frontier was late to serve MIA. Since then it has become the 5th largest airline at Miami International Airport.

To meet the demand of its widening network, the airline welcomed more than 670 flight new attendants and 170 pilots to the Frontier team in 2021 and continues to hire for additional crew member positions. Moreover, Frontier added bases in Tampa and Atlanta this year, extending the companyโ€™s local economic benefit with new jobs and more attractive base options for team members.
