Gol completes the acquisition of Webjet Linhas Aereas

GOL Linhas Aรฉreas Inteligentes S.A. (Sao Paulo), the parent of Gol Transportes Aereos and VRG Linhas Aereas (VARIG 2nd), issued the following statement:

“Gol, largest Latin America low-cost and low-fare air carrier, hereby informs to the market that, in addition to the relevant facts dated July 8, 2011 and August 2, 2011 and to the notice to the market dated September 21, 2011, the acquisition of 100% of the capital stock of Webjet Linhas Aรฉreas S.A. (Rio de Janeiro) was concluded at this date, as a result of which Gol Linhas Aรฉreas Inteligentes S.A., by means of its controlled company, VRG Linhas Aรฉreas S.A., became the owner of the total capital stock of Webjet Linhas Aรฉreas S.A., according to the terms of the Stock Purchase Agreement dated August 1, 2011.
The acquisition price for 100% of the capital stock of Webjet Linhas Aรฉreas S.A. was R$ 70,000,000.00, which is still subject to minor adjustments, to be determined within the next 70 days.”

Gol announces VARIG will acquire Webjet

Gol Linhas Aรฉreas Inteligentes S.A., the holding company of Gol Transportes Aereas and VARIG Linhas Aereas (2nd), initially informed its shareholders and the market in general that it was under discussions with Webjet Linhas Aรฉreas S.A.

Later the holding company announced the following:

“VRG Linhas Aereas S.A. (VARIG 2nd), its affiliated Company, executed a memorandum of understanding (MOU) with the controlling shareholders of Webjet Linhas Aereas S.A., (“WebJet”), for the acquisition of 100% of WebJet’s capital stock by VRG;

The acquisition is subject to among other conditions, the conclusion ofย  technical and legal due diligence of WebJet’s activities and assets,ย  the negotiation and execution of definitive documents by the parties and the approval from the relevant government authorities;

The price to be paid for the referred acquisition shall beย R$96,000,000.00ย (ninety six million Reais), subject to certain adjustments prior to the closing date. WebJet’s enterprise value was appraised by the parties atR$310,700,000.00ย (three hundred and ten million and seven hundred thousand Reais).”

Gol Linhas Aรฉreas Inteligentes S.A. (parent company of Gol Transportes Aereos and VARIG Linhas Areas 2nd) (Sao Paulo) reported a net profit of $19.9 million in the first quarter.

Gol’s profit drops in the fourth quarter and 2010

GOL Linhas Aรฉreas Inteligentes S.A. (parent company of Gol Transportes Aereos and VARIG Linhas Areas 2nd) (Sao Paulo) reported a net profit of $129 million in the fourth quarter and $128.3 million for 2010.

Qatar Airways and Gol sign a code share agreement

Qatar Airways (Doha) and Gol Linhas Aereas Inteligentes S.A. (Sao Paulo) have announced the signature of a code-share agreement. Under the agreement, Qatar Airways will add its code (QR) to Gol flights departing from Sao Paulo to 48 Brazilian destinations.

Gol signs a commercial agreement with Passaredo

Gol Linhas Aรฉreas Inteligentes S.A. (Sao Paulo) announced it has signed a commercial agreement with Passaredo Linhas Aรฉreas to handle its sales and ticketing.

Gol’s third quarter profit rises 41% to $64 million

Gol Aereos Inteligentes (Sao Paulo), the parent of Gol Transportes Aereos and VARIG (VRG Linhas Aereas) (2nd), reported its third quarter profit rose 41 percent to $64 million.

Gol Transportes Aereos retires its last Boeing 737-300

Gol Transportes Aereos (Sao Paulo) has now retired and parked its remaining Boeing 737-300s.

On the financial side, parent Gol Linhas Aรฉreas Inteligentes S.A. has reported a $30 million second quarter loss. Read the full report:

GOL announces IATA membership

GOL Linhas Aereas Inteligentes S.A. (Sao Paulo), the parent of GOL Transportes Aereas and VARIG (2nd) (VRG Linhas Aereas), announced yesterday (June 2) that it has joined the International Air Transport Association (IATA) as an active meber. IATA is an international trade body, representing approximately 230 airlines, comprising 93% of scheduled international air traffic.

Delta and Gol/VARIG file to begin code-sharing

Delta Air Lines (Atlanta) andย Gol Linhas Aereas Inteligentes (Sao Paulo), parent of both Gol Transportes Aereas and VARIG (2nd), have filed a request for authorization to implement a code-share agreement with Brazilian and U.S. authorities.

The code-share will initially allow Delta to assign its code to more than 45 Gol/VARIG flights departing fromย Brasilia, Rio de Janeiroย andย Sao Pauloย to other Brazilian destinations, as well as two Gol flights betweenย Brazilย and Paraguayย andย Uruguay.
