Virgin America reports 4Q net income of $28.1 million and $84.4 million for 2014

Virgin America (San Francisco) today reported its financial results for the fourth quarter and full year 2014. Key points include:

Fourth quarter 2014 operating income of $34.2 million and net income of $28.1 million, excluding special items[1]. This represents the highest net income for a fourth quarter in Company history and the ninth consecutive quarter of year-over-year improvement in income, excluding special items. On a GAAP basis, operating and net income for the fourth quarter of 2014 and 2013 were $10.1 million and $3.9 million, respectively.

2014 full year net income of $84.4 million, excluding special items. Full year net income increased by $74.2 million over 2013 โ€“ a seven-fold increase, and was the highest in the Company’s history. Operating and net income on a GAAP basis for the full year 2014 were $96.4 million and $60.1 million, respectively.

2014 full year RASM increased 4.6 percent compared to 2013, to 12.17 cents.
The Company successfully completed its initial public offering (IPO) in November 2014, increasing cash by $214.4 million and significantly reducing outstanding debt. Virgin America ended the year with $394.6 million in total unrestricted cash and cash equivalents.

Both our existing and new investors have shown confidence in our low-cost, high-amenity business model โ€“ and we’ve continued to sweep the major travel awards for both operational excellence and our innovative service. Importantly, we’ve also continued to exceed the industry average in Revenue per Available Seat Mile (RASM) growth and also shown a significant RASM premium on some of the nation’s most competitive business routes. Our 2014 results are a credit to both our guest-focused Teammates and a consistent, award-winning product.”

Fourth Quarter 2014 Financial Highlights

Operating Revenue: Total operating revenue of $372.2 million, an increase of 3.4 percent over the fourth quarter of 2013.

Revenue per Available Seat Mile (RASM): RASM increased 3.7 percent compared to the fourth quarter of 2013, to 12.23 cents. Year-over-year RASM growth was driven by a 2.7 point increase in load factor, offset partially by a 1.8 percent decline in yield, and also by a 25.5 percent growth in other revenue attributable to Virgin America’s new co-branded credit card agreement that was implemented in early 2014 and strength in other ancillary products.

Cost per Available Seat Mile (CASM): Total CASM excluding special items increased 0.7 percent compared to the fourth quarter of 2013, to 11.10 cents. CASM excluding special items, fuel costs and profit sharing for the quarter increased 4.2 percent year-over-year, to 7.16 cents.
Fuel Expense: Virgin America realized an average economic fuel cost per gallon including taxes and the impact of hedges of $2.87, which was 8.9 percent lower year-over-year. This amount excludes $2.8 million of mark-to-market costs for fuel hedges that will mature in 2015 and which did not qualify for hedge accounting treatment.

Operating Income: Fourth quarter 2014 operating income excluding special items increased by 45.1 percent over the fourth quarter of 2013 to $34.2 million. The Company’s operating margin excluding special items of 9.2 percent improved by 2.6 points year-over-year.
Net Income: Net income excluding special items for the fourth quarter increased 98.4 percent year-over-year, to $28.1 million. The Company’s IPO and related reduction in outstanding debt resulted in a $3.2 million decrease in net interest and other expense, contributing to the strong improvement in net income.

Fully Diluted EPS: Fully diluted earnings per share was $0.16 for the fourth quarter of 2014 on a GAAP basis. Excluding special items, fourth quarter 2014 fully diluted earnings per share was $1.16.

Capacity: Available seat miles (ASMs) for the fourth quarter of 2014 decreased 0.3 percent year-over-year. The airline ended the quarter with 53 Airbus A320-family aircraft.

Liquidity: Unrestricted cash was $394.6 million as of December 31, 2014.
Fourth Quarter 2014 Pro Forma Diluted Earnings per Share

Virgin America’s capital structure and number of common shares outstanding were materially changed in November 2014, upon completion of its IPO. The fully diluted share count for the fourth quarter of 2014 determined on a GAAP basis reflects the weighted average of common stock outstanding prior to the offering and subsequent to the offering. On a pro forma basis as if the offering had occurred prior to October 1, 2014, fourth quarter 2014 fully diluted earnings per share excluding special items would have been $0.71, based on a fully diluted share count of 44.6 million shares and net income excluding special items available to common shareholders of $31.6 million. Virgin America is providing this pro forma information to present a more meaningful basis of comparison for fully diluted earnings per share in future periods.

Special Items

Virgin America recorded $24.2 million in expense related to certain special items during the fourth quarter 2014 that have been excluded from the above commentary. These items include:

$20.4 million for equity related compensation recorded upon completion of the IPO and other related offering expenses.
$1.0 million for costs associated with terminating service to Philadelphia International Airport and Dallas-Fort Worth International Airport.
$2.8 million of mark-to-market adjustments for hedges related to 2015 that did not qualify for hedge accounting treatment.

First Quarter 2015 Outlook

The Company expects capacity, as measured by available seat miles, to increase by approximately 2.0 percent to 3.0 percent for the first quarter of 2015 as compared to the first quarter of 2014. Based on current revenue trends, the Company expects PRASM to change between -1.0 percent and +1.0 percent versus the first quarter of 2014. The Company expects CASM excluding fuel and profit sharing to increase between +1.0 percent and +3.0 percent versus the first quarter of 2014.

Based on Virgin America’s hedge portfolio and current market prices for aviation fuel products, the Company expects Virgin America’s economic fuel cost per gallon inclusive of related taxes and hedge costs to average between $2.45 and $2.55 for the first quarter of 2015. This number may change depending on fluctuations in market prices for jet fuel during the quarter.

Virgin America to start Dallas Love Field – Austin flights

Virgin America (San Francisco) has announced it is launching sales on new flights from Dallas Love Field (DAL) to Austin-Bergstrom International Airport (AUS). The new flights take off on April 28, 2015, and flyers can select one of five daily nonstop flights from DAL to AUS, with convenient connecting service also available via DAL to Ronald Reagan Washington National Airport (DCA), Los Angeles International Airport (LAX), San Francisco International Airport (SFO) and New York’s LaGuardia Airport (LGA).

In the fall of 2014, Virgin America moved from Dallas-Fort Worth International Airport (DFW) to DAL and launched new, nonstop daily flights from that airport to DCA, LGA, SFO and LAX.

With the addition of the new DAL-AUS flights, the airline will offer 19 daily departures from Love Field. Virgin America has served the Austin market since 2013, with nonstop flights from SFO. In 2014, the carrier also expanded its SFO-AUS schedule.

Virgin America extends its partnership with the San Francisco Giants, adds a new logo to Airbus A320 N849VA

Virgin America (San Francisco) and the San Francisco Giants of Major League Baseball yesterday (January 21) announced a multi-year partnership extension, which maintains the Bay Area-based airline’s position as the “Official Airline of the San Francisco Giants” through the end of 2018. This announcement came during an “orange carpet” send-off for the 2014 World Championship Trophy as it heads to New York City for the East Coast leg of a three-month World Championship Trophy Tour presented by Bank of America.

The trophy will fly in style (above), riding in Virgin America’s exclusive eight-seat First Class cabin from San Francisco International Airport (SFO) to John F. Kennedy International Airport (JFK) onboard the Virgin America Airbus A320 aircraft “Fly Bye Baby,” (below) named in honor of the hometown team. Onboard the flight, Giants President and CEO Larry Baer will invite fellow Virgin America guests to grab photos with the trophy and will host a live Twitter chat at 35,000 feet using the airline’s inflight WiFi. Guests and fans alike are encouraged to follow along and submit questions using the hashtags #sfgtrophy and #flytogether.

The extended partnership includes unique co-branding elements at AT&T Park, including the “Virgin America Loft,” a premium customized suite located in right field above McCovey Cove, and the “Virgin America Club Level” that features the airline’s signature cabin mood-lighting. In 2012, the airline first unveiled its Giants themed “Fly Bye Baby” aircraft that was updated in 2014 with a crowdsourced #FlyTogether design populated with the photos of hundreds of Giants fan who submitted photos on Instagram and Twitter. Today at SFO, Virgin America unveiled the aircraft’s newest design โ€“ the 2014 World Championship mark โ€“ in celebration of the San Francisco Giant’s latest World Series Victory.

Once in the Big Apple, the trophy will be available to Giants fans that have followed the team for generations โ€“ a history that dates back to when the team was based in New York before moving to San Francisco in 1958. A public viewing of the trophy will be held on Saturday, January 24 from 2:00 to 6:00 p.m. at Finnerty’s Bar in Manhattan.

In addition to a Main Cabin that offers custom-designed leather seating with a deeper, more comfortable pitch, the airline’s First Class cabin offers plush white leather seating with 55 inches of pitch, 165 degrees of recline and lumbar massagers. The carrier’s Main Cabin Select service offers 38-inches of pitch, free food and cocktails, an all-access pass to media content, dedicated overhead bins and priority check-in/boarding. The Redยฎ in-flight entertainment platform offers guests their own seatback touch-screen TV, with more than 20 films, live TV, Google Maps, videogames, a 3,000 song library and an on-demand menu, which allows flyers to order a cocktail or snack from their seatback any time during a flight. Virgin America’s airport lounge โ€“ The Loft โ€“ is located at LAX and its Elevate frequent flyer program offers no black-outs or restrictions on rewards seats with three levels of status including Elevate Gold and Elevate Silver.

Virgin America starts seasonal New York-JFK-Fort Lauderdale/Hollywood service

Virgin America (San Francisco) today (December 18) begins new daily nonstop seasonal service between New York’s John F. Kennedy International Airport (JFK) and Fort Lauderdale-Hollywood International Airport (FLL).

The new daily route will operate until April 27, 2015.

In addition to the new seasonal daily service to Fort Lauderdale/Hollywood, the airline is adding a second weekly flight to its seasonal service between New York (JFK) and Palm Springs. This second frequency will operate until April 25, 2015.

Virgin America completes the fleetwide installation of Gogo ATG-4 WiFi service

Virgin America (San Francisco) today announced the fleetwide rollout of Gogo’s faster ATG-4 WiFi service โ€“ with the completion this week of ATG-4 WiFi installation on its Airbus A319 plane “Jane” (N526VA, above).

In 2009, Virgin America became the first airline to offer Gogo Inflight WiFi service on every flight โ€“ a distinction the airline still maintains today.

With a base of tech-forward flyers, the airline has similarly invested in the next generation of WiFi technology โ€“ with the rollout of Gogo’s enhanced WiFi product to all 53 of Virgin America’s Airbus A320 Family aircraft. ATG-4 offers a faster average guest experience with peak speeds of 9.8 Mbps to each aircraft โ€“ more than triple the peak speed of the 3.1 Mbps available with the first generation of inflight WiFi. Virgin America and China Eastern Airlines announce a new codeshare agreement

Virgin America (San Francisco) and China Eastern Airlines (Shanghai) today announce a codeshare agreement to offer seamless booking and travel from Shanghai, China to multiple destinations across the United States. The new agreement will see China Eastern place its two-digit flight code (MU) on a range of Virgin America routes from Los Angeles and San Francisco โ€“ including West Coast flights to Boston, Chicago, Dallas Love Field, Fort Lauderdale/Hollywood, Las Vegas, Newark, New York (JFK), Seattle/Tacoma, San Diego and Washington Dulles (Dulles). This will open a world of choice and convenience for travel between Asia, China, and the United States, offering a one-stop booking process and one-stop check-in, including seamless boarding passes and baggage handling for the entire journey. Codeshare flights can be booked today for travel from December 17, 2014.

The two airlines also announce today that starting next year the two airlines will launch reciprocal frequent flyer benefits. Members of China Eastern’s frequent flyer program will be able to earn Eastern Miles when traveling on all Virgin America flights and redeem their Eastern Miles for reward flights on all Virgin America routes. Members of Virgin America’s Elevate frequent flyer program will also be able to earn Elevate points when flying across China Eastern’s network as well as redeem their Elevate points for international reward flights on any route operated and marketed by China Eastern.

China Eastern offers daily direct flights from Shanghai to San Francisco and from Shanghai to Los Angeles.

The codeshare partnership expands on the two airlines’ existing interline agreement, which commenced in May 2013. China Eastern is Virgin America’s fifth codeshare agreement and joins the airline’s growing partner portfolio.

Virgin America celebrates one million hours of flying

Virgin America (San Francisco) celebrated its one millionth hour of flying on November 21 and announced the milestone with this short announcement:

Virgin America sets its IPO price at $23 a share

Virgin America Inc. (San Francisco) premiered today on Wall Street. The airline previously issued this statement on the Initial Public Offering (IPO):

Virgin America has announced the pricing of its initial public offering of 13,337,587 shares of its common stock at a price to the public of $23.00 per share. Virgin America is offering 13,106,377 shares. VX Employee Holdings, LLC, a Virgin America employee stock ownership vehicle, is offering 231,210 issued and outstanding shares as a selling stockholder. In addition, certain selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 2,000,638 shares of common stock. The shares are expected to begin trading on the NASDAQ Global Select Market on November 14, 2014, under the symbol “VA.”

Barclays and Deutsche Bank Securities are acting as lead joint book-running managers for the offering. BofA Merrill Lynch, Cowen and Company, Goldman Sachs & Co., Imperial Capital, LOYAL3 Securities and Raymond James are acting as co-managers for the offering.

Virgin America reports 3Q net income of $41.6 million, expects to raise around $320 million from its pending IPO

Virgin America (San Francisco) reported its financial results for the third quarter of 2014 with an operating income of $52.3 million and net income of $41.6 million. The airline posted an operating margin of 12.9 percent โ€“ a 1.4 point improvement over the third quarter of 2013, driven largely by a 5.5 percent growth in revenue per available seat mile (RASM) over the prior year period.

Third Quarter 2014 Financial Highlights:

Operating Revenue: Total operating revenue of $405.5 million, an increase of 4.7 percent over the third quarter of 2013.

Revenue per Available Seat Mile (RASM): RASM increased 5.5 percent compared to the third quarter of 2013, to 12.60 cents. Year-over-year RASM growth was driven by a 0.6 percent increase in yield and a 3.0 point increase in load factor. The RASM performance continues the trend of strong RASM growth for the airline, which reported 9 percent RASM growth year-over-year for its Full Year 2013 results.

Cost per Available Seat Mile (CASM): Total CASM increased 3.8 percent compared to the third quarter of 2013, to 10.98 cents. CASM excluding fuel costs for the quarter increased 5.5 percent year-over-year, to 6.84 cents, primarily due to a provision for teammate profit sharing. CASM, excluding both fuel and profit-sharing costs, increased 2.0 percent, to 6.61 cents.

Operating Income: Third quarter of 2014 operating income increased by 17.9 percent over the third quarter of 2013 to $52.3 million with an operating margin improvement of 1.4 points year-over-year.

Net Income: Net income for the quarter increased 24.2 percent year-over-year, from $33.5 million to $41.6 million. Virgin Americaโ€™s year-to-date net income improved by $60.2 million from a net loss of $4.0 million for the nine months ended September 30, 2013, to net income of $56.2 million for the nine months ended September 30, 2014.

Capacity: Available seat miles (ASMs) for the third quarter of 2014 decreased 0.8 percent year-over-year. The airline ended the quarter with 53 Airbus A320-family aircraft.

Liquidity: Unrestricted cash was $184.5 million as of September 30, 2014.
