Republic Airways Holdings reports net income of $64.3 million for 2014

Republic Airways Holdings Inc. (Republic Airlines and Shuttle America) (Indianapolis) has reported its financial results for the fourth quarter and full year ended December 31, 2014. The companyย reported net income of $64.3 million for 2014, a significant increase from its ย net income of $26.7 million in 2013.

As planned, Chautauqua Airlines ended operations on December 31, 2014 and was rolled into Shuttle America as previously reported.

Republicโ€™s pre-tax income excluding special items, for the fourth quarter of 2014 was $32.1 million, an 8.4 percent increase over the fourth quarter or 2013. Republicโ€™s adjusted income from continuing operations for the fourth quarter of 2014 was $19.8 million, or $0.39 per diluted share, and its adjusted pre-tax margin was 9.3 percent.

For the full year of 2014, Republicโ€™s pre-tax income, excluding special items, was $120.2 million, a $17.7 million increase over 2013. Republicโ€™s adjusted income from continuing operations for 2014 was $73.4 million, or $1.40 per diluted share, with an adjusted pre-tax margin of 8.7 percent.

On a GAAP basis, including special items, Republicโ€™s fourth quarter 2014 pre-tax loss was $1.4 million, pre-tax margin was -0.4 percent and income from continuing operations was $11.7 million, or $0.23 per diluted share. On a GAAP basis, including special items, Republicโ€™s 2014 pre-tax income was $85.2 million, pre-tax margin was 6.2 percent and income from continuing operations was $64.3 million, or $1.24 per diluted share.

On January 1, 2015, Republic completed its consolidation of all Chautauqua Airlines operations onto the Shuttle America operating certificate. All operating aircraft and related employees are now transferred to Shuttle Americaโ€™s operation. Republic hopes to sell the remaining Chautauqua Airlines entity and related assets during the first half of 2015.

During the fourth quarter of 2014, Republic extended the service terms of aircraft under its fixed-fee capacity purchase agreements with US Airways, Inc. and Delta Air Lines, Inc. Republic also agreed to operate an additional nine E170 aircraft for Delta Air Lines, Inc.

โ€œWe took some significant steps in 2014 in our effort to simplify and streamline our business,โ€ said Republic Airways Holdings Chairman, President and CEO Bryan Bedford. โ€œWhile this simplification strategy results in near-term transition expenses, such as the fleet impairment charge we took this quarter, the actions that weโ€™ve taken in 2014 and that we intend to take in 2015 are key to the future success of our airline.โ€

The impairment and other charges in 2014 were due to impairment and other charges on owned E140 aircraft which were abandoned of $19.9 million; owned E190 aircraft which are in the process of being sold of $14.4 million; owned Q400 aircraft which are scheduled to come out of service in the third quarter of 2016 of $13.3 million, and a loss on sale of E190 aircraft of $5.8 million. The 2013 impairment charges of $21.2 million related to owned E190 aircraft and the write-off of maintenance deposits on leased E190 aircraft.

Fleet Highlights

During 2014, our operational fleet decreased from 258 to 244. The company took delivery of 22 E175 aircraft, permanently parked 15 E140 aircraft, temporarily parked 13 E145 aircraft, sold two E190 aircraft and leased three E145 aircraft and three E190 aircraft.

During 2014, we took delivery of 22 E175 aircraft and removed 28 small regional jets.

In December 2014, we completed the sale of two E190 aircraft and executed an agreement to sell three other E190 aircraft. The sale of these five aircraft will leave us with two owned E190 aircraft and three leased E190 aircraft that are expected to be removed from fixed-fee charter service in August of 2015. We expect to return the three leased aircraft to the lessor in 2015 and the remaining two aircraft are under a firm sales agreement.

Balance Sheet and Liquidity

The Companyโ€™s total cash balance decreased $55.1 million to $245.6 million as of Dec. 31, 2014, compared to Dec. 31, 2013. Restricted cash decreased $2.3 million, to $21.7 million, from Dec. 31, 2013, due to the escrow requirements under our fixed-fee charter agreements. The Companyโ€™s unrestricted cash balance decreased $52.8 million, to $223.9 million, from Dec. 31, 2013, due primarily to equity investments in new aircraft and the redemption of the $22.3 million and $26.5 million convertible notes on April 7, 2014, and Oct. 28, 2014, respectively. The Company also purchased 212,881 shares of its common stock on the open market, during the third quarter of 2014 for total consideration of $2.1 million. A consolidated balance sheet and summary cash flow statement have been included in the tables section of this release.

The Companyโ€™s debt increased to $2.34 billion as of Dec. 31, 2014, compared to $2.17 billion at Dec. 31, 2013, primarily related to the financing of 22, new E175 aircraft purchased for our American Airlines fixed-fee agreement. As of Dec. 31, 2014, approximately 98 percent of our debt is at a fixed interest rate. The Company has significant long-term lease obligations for aircraft that are classified as operating leases and are not reflected as liabilities on the Companyโ€™s consolidated balance sheet. At a 6 percent discount factor, the present value of these lease obligations was approximately $0.48 billion and $0.59 billion as of Dec. 31, 2014, and Dec. 31, 2013, respectively.

American takes delivery of the first Embraer 175 to be operated by Compass Airlines

American Airlines Group (Dallas/Fort Worth) yesterday (February 11) took delivery of the first Embraer ERJ 175 (ERJ 170-200LR) (N200NN, msn 17000456) to be operated by newcomer Compass Airlines (Minneapolis/St. Paul). Compass will operate the first 20 aircraft.ย The remaining 40 ERJ 175s will be operated by American Airlines Group subsidiary Envoy Air (Dallas/Fort Worth).

Embraer issued this statement:

At a ceremony held on February 11 at the Companyโ€™s headquarters in Sรฃo Josรฉ dos Campos, Embraer delivered to American Airlines the first of 60 firm order E175 jets under the contract signed between the two companies in December 2013. The contract also included options for another 90 E175s, taking the total order potential to 150 aircraft.

American Airlines selected Compass Airlines, a wholly owned subsidiary of Trans States Holdings, to operate the first 20 E175 aircraft under the American Eagle brand. The E175s will be configured with 12 First Class, 20 Main Cabin Extra and 44 Main Cabin seats, for a total of 76 seats.

American to drop American Eagle service between Louisville and New York LaGuardia

American Airlines (New York) will drop American Eagle nonstop service between Louisville, Kentucky and New York (LaGuardia) on March 29 due to low demand according to Louisville Business First.

The route is operated by Republic Airlines (2nd) using Embraer ERJ 175s.

Compass Airlines to operate Embraer 175s from Los Angeles for American Airlines

Compass Airlines (Minneapolis/St. Paul) as we previously reported is becoming an American Eagle operator starting on March 29. Per Airline Route, Compass will operate new Embraer ERJ 175s from Los Angeles International Airport for American Airlines (Dallas/Fort Worth) initially to Denver and Houston (Bush Intercontinental) with daily service.

Compass Airlines to start operating as an American Eagle carrier on March 29

Compass Airlines (Minneapolis/St. Paul), a wholly owned subsidiary of Trans States Holdings, Inc., will start operating for American Airlines (Dallas/Fort Worth) as a new American Eagle carrier on March 29 per ch-aviation.

Previously American Airlines announced Compass would operate 20 new 76-seat Embraer ERJ 175 aircraft owned by American Airlines, Inc. Compass expects to begin taking delivery of the aircraft in March. The agreement also provides American the option to place additional ERJ 175 aircraft it owns with Compass in the future.

American Airlines, a subsidiary of American Airlines Group Inc., announced in December 2013 it had signed agreements with Embraer S.A. to purchase 60 new 76-seat ERJ 175 regional jets, with options for up to 90 additional aircraft.

The addition of these 20 American aircraft will increase the fleet size of Compass Airlines to 62 aircraft, all of which are either Embraer ERJ 175 or ERJ 170 aircraft.

Compass currently operates Embraer ERJ 170 and ERJ 175 regional jets for Delta Air Lines as a Delta Connection carrier.

United Airlines starts Wi-Fi installation on regional jet aircraft

United Airlines (Chicago)ย has expanded Wi-Fi to the first of its United Express regional aircraft.

The airline will outfit more than 200 Embraer ERJ 175, ERJ 170 and Bombardier CRJ700 regional jets with Gogo’s ATG-4 advanced air-to-ground Wi-Fi product. By mid-2015, United expects to complete installation on nearly all these aircraft.

Additionally, the company will begin providing Personal Device Entertainment on regional jets this year, offering customers hundreds of complimentary movies and television shows to view on their Wi-Fi-enabled iOS and Android devices using United’s mobile app, as well as on laptop computers.

United’s regional jet Wi-Fi installations begin as the airline continues to outfit its mainline fleet with Wi-Fi, which the carrier currently offers on nearly three-quarters of its domestic mainline fleet. United also operates more international aircraft with Wi-Fi than any other U.S. airline.

The company has installed Personal Device Entertainment on nearly 200 mainline aircraft, including its entire Boeing 747-400, Airbus A319 and A320 fleets and its nine Boeing 777 aircraft that fly primarily between the continental United States and Hawaii.

Regional Service Upgrades

In addition to Wi-Fi and Personal Device Entertainment, United is further investing in its customers’ regional-jet experience, including:

Adding 120 Embraer ERJ 175 aircraft to the regional fleet, each offering wider seats and aisles than other regional aircraft, large overhead bins and a power outlet at each United First seat; and

Upgrading premium-cabin meal service on United Express this spring by replacing snack boxes with freshly prepared food on flights that are more than 2 hours and 20 minutes, or 800 miles.

Envoy Air’s pilots vote to ratify the new tentative agreement, Envoy to get 40 new Embraer 175s

Envoy Air (American Eagle) (subsidiary of American Airlines Group) (Dallas/Fort Worth) will continue to grow. The pilots, represented by ALPA, have approved the tentative agreement hatched out between the company management and ALPA (MEC) representing the pilots. Envoy issued this statement today:

Pilots at Envoy Air Inc., an American Airlines Group wholly owned regional carrier, have voted to ratify a Tentative Agreement reached between the carrier and the Air Line Pilots Association (ALPA). This agreement was ratified by a vote among Envoy’s more than 2,400 pilots and allows Envoy to now offer all existing and future pilots a direct career progression to American Airlines, the world’s largest mainline carrier. In addition, it provides Envoy with a firm fleet commitment of 40 new fuel-efficient 76-seat Embraer ERJ 175 (E175) aircraft and the opportunity to operate up to 90 more E175s, if American exercises those options.

“We are very pleased our pilots voted to ratify the Tentative Agreement that offers them new, large and modern aircraft to fly and faster career advancement at both Envoy and American Airlines,” said Envoy’s president and CEO, Pedro Fabregas. “This agreement also lays the foundation for Envoy to become a stronger and more successful company for all of our more than 14,000 employees. My sincere thanks to Envoy ALPA and its Master Executive Council (MEC), as well as ALPA president Lee Moak, ALPA executive administrator Tim Canoll and MEC chairman Sam Pool for their hard work and dedication to reach this agreement.”

According to ALPA,ย Envoy Air pilots completed voting on the proposed changes to the Collective Bargaining Agreement. Of the 91.57% of eligible Envoy pilots who voted, 75% voted to accept these changes.

Alitalia begins new service to Berlin and Dusseldorf due to its new relationship with Airberlin

Alitalia (2nd) (Rome) yesterday (December 15) began new service from Rome (Fiumicino), Milan (Linate) and Venice to Berlin (Tegel) and Dusseldorf. The first Alitalia flights to the two German cities took off from Milan Linate Airport at 6.30 am (flight AZ 418 to Dusseldorf) and 6:35 am (flight AZ 406 to Berlin), while the new flights from Rome and Venice departed later in the day.

The new daily service to Berlin and Dusseldorf will operate, for the winter season, with an Embraer 175 aircraft configured in two classes of service: “Ottima” โ€“ Alitaliaโ€™s business class on international flights, and “Classica”, the economy class. During the summer season, which will begin in March 2015, these routes will be operated with higher capacity aircraft.

The new service between Italy and Germany is very important for Alitalia from a strategic point of view. With the introduction of the new flights to Berlin and Dusseldorf, Alitalia will offer 370,000 more seats to Germany in 2015, an increase of +66%, compared to 2014, expanding its network, which was limited to flights from Rome to Munich and from Rome and Milan Linate to Frankfurt.

All new flights launched are in codeshare with Airberlin, the second largest German airline, in accordance with the codeshare agreement between the two companies launched on October 26, 2014.

American to add Gogo inflight wireless services to all two-class regional jets

American Airlines Group (Dallas/Fort Worth) has announced as a part of its $2 billion investment to give customers a world-class travel experience, American Airlines will upgrade its regional fleet by adding Gogo inflight wireless services to all two-class regional jets. Nearly 250 of American’s regional aircraft will have inflight wireless Internet service installed by 2016. With this installation, the world’s largest airline will have the largest fleet of connected regional jets.

American currently has nearly 850 aircraft with Gogo services and leverages Gogo’s air-to-ground (ATG) service and its next generation ATG-4 technology. Approximately 70 of these 850 aircraft are two-class regional jets.

Having ordered more than 500 new aircraft โ€“ with nearly two planes arriving each week through 2016 โ€“ American will offer customers the youngest fleet of any U.S.-based network carrier. New aircraft deliveries include 90 large regional jets, the Embraer 175 and Bombardier CRJ900. These modern and fuel-efficient 76-seat jets provide customers with a top-tier regional product with First Class, Main Cabin Extra and Main Cabin seating, larger overhead bins, more spacious lavatories and leather seats with adjustable headrests.

The American Eagle and US Airways Express regional networks operate about 2,600 daily flights for American Airlines and US Airways, respectively. These flights serve 240 destinations throughout the United States, Canada, the Bahamas, the Caribbean and Mexico. Eventually all regional service will be operated under the American Eagle brand and livery.

American marked the one-year anniversary of its merger earlier this week by announcing more than $2 billion in investments to give its customers a world-class travel experience. These investments include expanding inflight entertainment and connectivity. The airline is adding satellite-based Internet access to its international fleet including all Boeing 777s and 787s, Airbus A330s, and retrofitted Boeing 767-300s and 757s. New 737s, nearly all new A321s, as well as retrofitted A319s also will have power ports in every row. All new widebody deliveries, including 777-300 ERs and 787s, come with power at every seat, allowing customers to charge their laptops and personal electronic devices from gate to gate. American also will be investing in fully lie-flat seats, more inflight entertainment options, a new, modern design for Admirals Club lounges worldwide, and an upgraded assortment of complimentary healthy food, cocktails and more.

Alaska Airlines to expand its relationship with SkyWest Airlines with new Embraer 175s and three new cities

Alaska Airlines (Seattle/Tacoma) announced today it is expanding its partnership with SkyWest Airlines (St. George, Utah) with the addition of three new destinations from Alaska’s Northwest hubs. Flying on new Embraer ERJ 175 jets (a new type in Alaska colors), Alaska will begin offering daily nonstop service starting on July 1, 2015 between Seattle/Tacoma and Milwaukee, Wisconsin; Seattle/Tacoma and Oklahoma City, Oklahoma; and Portland, Oregon and St. Louis.

The 76-seat E175 jet will feature 12 seats in first class and 64 in coach, and boasts cabin dimensions on par with a Boeing 737. Onboard amenities include Wi-Fi Internet access, streaming inflight entertainment and 110 volt power in every first class seat. Food and beverage will include hot meals and picnic packs for purchase, in addition to Northwest microbrews and wine.

SkyWest has purchased seven Embraer E175 aircraft to fly on behalf of Alaska under a capacity purchase agreement (CPA). The first three aircraft will arrive in the summer of 2015, and the remaining four will be delivered in the first quarter of 2016.

SkyWest operates for Alaska Airlines as Alaska SkyWest.

Alaska 11.2014 New Service

“The E175 is new for the Alaska brand and fills a specific need to serve โ€˜long, thin routes’ โ€“ destinations that are too distant for our regional aircraft, but currently don’t have enough customer demand to fill a mainline jet,” said Andrew Harrison, senior vice president of planning and revenue management for Alaska Airlines. “The smaller, but spacious, E175 jet will not only open up new cities, but provide feed traffic to our Northwest hubs, while giving customers a comfortable experience on these longer flights.”

Today, SkyWest flies 40 flights a day between 14 cities for Alaska Airlines and by August 2016, that will increase to 52 flights a day to 17 cities.

Alaska Airlines has been growing its Seattle/Tacoma hub, this year launching service to six new cities which include Albuquerque, Baltimore/Washington, Cancun, Detroit, New Orleans and Tampa. With the addition of these new SkyWest-operated flights, next summer Alaska will offer 298 peak-day departures to 81 destinations from Seattle/Tacoma โ€“ three times any other carrier. From Portland, starting in July Alaska Airlines will offer 125 peak-day departures to 44 destinations โ€“ more than any other carrier.

In related news, SkyWest confirmed its order for seven Embraer 175s with this announcement:

SkyWest, Inc. and Embraer have confirmed a firm order for seven E175 jets. The aircraft will be flown by SkyWest Airlines under a Capacity Purchase Agreement (CPA) with Alaska Airlines. The value of the firm order, which will be included in Embraer’s 2014 fourth-quarter backlog, is estimated at $301 million, based on 2014 list prices.

These aircraft are part of SkyWest’s previous order for 100 (40 firm and 60 reconfirmable), E175 current generation E-Jets โ€“ with an additional 100 options โ€“ placed in May 2013, taking the firm order number to a total of 47. The E175s for Alaska Airlines will be configured with 76 seats including 12 First Class seats. Deliveries are schedule to begin in the second semester of 2015.

SkyWest Airlines operates a fleet of approximately 15 E175 and 39 EMB 120 Brasilia aircraft. ExpressJet Airlines operates 226 aircraft of the ERJ 145 family and is the largest ERJ operator in the world.

In a separate deal with Embraer, announced in June of 2013, SkyWest became the launch customer of the E175-E2, ordering 100 aircraft with 100 additional options, for deliveries beginning in 2020.
