ANA Holdings issued this statement:

ANA Holdings logo

Skymark Inc. (Skymark), Integral Corporation (Integral) and ANA Holdings Inc. (ANAHD) have today agreed upon and executed a memorandum of understanding (the โ€œMemorandumโ€) stating that Integral and ANAHD will jointly support Skymark which is currently undergoing civil rehabilitation proceedings.

1. Background for the Execution of the Memorandum

Since the commencement order of the civil rehabilitation proceedings was announced on February 4,ย 2015, Skymark has signed a basic rehabilitation support agreement with Integral on February 5, 2015 and is working to quickly revitalize its business with Integralโ€Ÿs support.

On February 12, 2015, Skymark appointed GCA Savvian Corporation as its financial adviser to broadly solicit and select sponsors who would be willing to support Skymark in its attempt to maintain and develop the value of Skymarkโ€Ÿs business. Following this selection process, Skymark has decided to appoint ANAHD to be the joint sponsor with Integral and has executed the Memorandum with Integral and ANAHD. ANAHD has experience with the rehabilitation of other Japanese airlines and has offered a wide range of support in sales, supplies and maintenance services to improve the value of Skymarkโ€Ÿs business.

ANAHD is the holding company of All Nippon Airways, ANA Wings, Air Japan Company Limitedย (full service carrier) Vanilla Air Inc. (a provider of low-cost carrier operations), ANA Sales Co., Ltd. (a travel business provider), All Nippon Airways Trading Company Limited (a trading business provider) and several other companies. ANAHD, whose mission statement is โ€œBuilt on a foundation of security and trust, the โ€žwings within ourselvesโ€Ÿ help to fulfill the hopes and dreams of an interconnected world,โ€ is Japanโ€Ÿs largest airline group, and has played a major role in Japanโ€Ÿs air transportation services for over 60 years.

Beginning today, Skymark, Integral and ANAHD will, under the supervision of the Tokyo District Court and court appointed supervisor, hold detailed negotiations on the basis of the Memorandum and will execute sponsorship agreements and formulate a proposed rehabilitation plan (the โ€œProposed Rehabilitation Planโ€) as part of the civil rehabilitation proceeding.

2. Main Points of the Memorandum

The Memorandum stipulates the basic conditions of the joint sponsorship by Integral and ANAHD ofย Skymark in order to achieve the revitalization of its business as an independent corporation, with shares issued by Skymark to be re-listed on the stock market as soon as possible.

The overview of the Memorandum is as follows;

(1) Capital Contribution and Payment of Debts

It will be stipulated in the Proposed Rehabilitation Plan that Skymark will perform a 100% capitalย reduction. After a confirmation order for the Proposed Rehabilitation Plan becomes final and binding, Skymark will perform a capital increase through the allocation of new shares. Integral, ANAHD and other entities will subscribe to these shares and become new shareholders.

The total amount of planned investment is 18 billion JPY, which will be used for the payment of debts (comprising common benefit claims, preferred claims and rehabilitation claims) outstanding at the time the confirmation order of the Proposed Rehabilitation Plan becomes final and binding.

The ratio of capital contributions and voting rights shall be apportioned such that Integral will hold 50.1%, ANAHD will hold a maximum of 19.9%, with other entities holding the remainder. Integral and ANAHD will mutually discuss the capital contribution by other entities and decide on such capital contribution by the time of submission of the Proposed Rehabilitation Plan.

In addition, Skymark is planning to execute commitment lines with financial institutions with the support of Integral and ANAHD to ensure that Skymark has the necessary working capital for its business operations.

  1. (2) ย Board of Directors
After the confirmation order of the Proposed Rehabilitation Plan becomes final and binding, theย number of directors to the Board of Skymark will be 6. Of these, 3 will be appointed by Integral, 1 will be appointed by ANAHD and the remaining 2 will be decided after discussions between Integral, ANAHD and other contributors. It is contemplated that one of the directors appointed by Integral will be the Chairman and one of the directors appointed by ANAHD or other shareholders will be the President.
  2. (3) ย Employment of Employees
The employment of Skymarkโ€Ÿs employees will, as a general principle, be maintained.
  3. (4) ย Re-Listing on the Stock Exchange
Integral and ANAHD have agreed to make their best efforts and mutually cooperate to work to theย common goal of improving the value of Skymarkโ€Ÿs business and to re-list the shares issued by Skymark on the stock market within 5 years of their investment

Boeing donates 787-8 ZA002 (N787EX) to the Pima Air and Space Museum

Boeing (Chicago, Seattle and Charleston) has agreed to the permanent display of one of the original 787-8 Dreamliner flight test airplanes at the Pima Air and Space Museum.

This particular 787, test designated as ZA002 and registered as N787EX (msn 40691), is the second Boeing 787-8 to be produced. The airplane flew for the first time on December 22, 2009, joining what would become a six-airplane flight test and certification program for the 787-8. The primary focus of ZA002 was testing systems performance.

Interestingly Boeing registered N787EX with the FAA as a “787-83Q” but later decided to drop all Boeing customer codes in the designation (for the first time) and elected to designate all Dreamliners as 787-8s, 787-9s etc.

Coinciding with the 787 induction, the Pima Air and Space Museum also unveiled its new ‘Women in Flight’ exhibit, commemorating the achievements of female aviators over the past century.

ZA002 is the second of three flight test 787-8s Boeing plans to share with communities and future generations of employees and airplane enthusiasts.

The Pima Air and Space Museum is one of the largest aviation museums in the world, and the largest non-government funded aviation museum in the United States. The museum maintains a collection of more than 300 aircraft and spacecraft from around the globeโ€”including many rare and one-of-a-kindโ€”and more than 125,000 artifacts. The museum is located at 6000 E. Valencia Road, Tucson, Exit 267 off Interstate 10.

Coming in the fall: ANA to introduce a R2-D2 Star Wars Boeing 787-9 Dreamliner logo jet

All Nippon Airways (ANA) (Tokyo) announced today it will introduce Star Wars livery, with the iconic R2-D2, on its newest aircraft 787-9 Dreamliner (drawings show the upcoming Boeing 787-9 JA873A, msn 34530) to mark the beginning of a five-year ANA Star Warsโ„ข Project and agreement with The Walt Disney Company (Japan) Ltd.* This marks the first time a Star Wars character will appear on the exterior of a commercial aircraft. The R2-D2 design was unveiled to Star Wars fans today at Star Wars Celebration in Anaheim, California, just months prior to the characterโ€™s appearance on international flights** in autumn of this year.

ANA 787-9 Star Wars 1 (ANA)(LR)

The Star Wars livery is in line with ANAโ€™s strategy to further enhance its international presence. Last spring, the carrier significantly expanded its international flight network from Haneda and Narita airports in Tokyo. With demand increasing around the world for flights to Japan and routes linking the United States with Asia, ANA is committed to raising the profile of the ANA brand in the global market through innovative partnerships and branding opportunities. The partnership with Star Wars, beloved by audiences in Japan and around the globe, is a perfect match as Japanโ€™s largest airline seeks to connect travelers around the world through this project.

ANA 787-9 Star Wars 2 (ANA)(LR)

“Weโ€™re excited to be involved in this collaboration with ANA, one of the world’s leading 5-star airlines,โ€ said Kayleen Walters, Vice President, Marketing for Lucasfilm Ltd. โ€œWeโ€™re proud of the innovative R2-D2 design, and we look forward to witnessing the first-ever flight of a passenger aircraft featuring a Star Wars character. Weโ€™re confident that Star Wars fans around the world will absolutely love this design.”

ANA 787-9 Star Wars 3 (ANA)(LR)

“ANA boasts an extensive international network, along with convenient connections between the U.S. and a wide variety of destinations throughout Asia,โ€ said Takashi Shiki, ANA Executive Vice President, Sales & Marketing. โ€œAlthough itโ€™s a lofty goal, we hope that like Star Wars, ANA will become well known and loved across all borders and generations. The R2-D2 motif works well with ANAโ€™s blue logo design on the aircraftโ€™s fuselage, and many people associate R2-D2 with competent and reliable serviceโ€”also hallmarks of ANAโ€™s 5-star service. We are particularly delighted to introduce this collaboration now as we prepare to launch our new international service from Tokyo to Houston in June, making it our 10th North American destination. Through the introduction of the new Star Wars livery we hope to welcome more passengers from around the world to experience ANA as the Inspiration of Japan.”

ANA firms up its order for seven additional Airbus A321s

ANA A321neo (82)(Flt)(Airbus)(LRW)

ANA Holdings (ANA-All Nippon Airways) (Tokyo) has firmed up an order for seven more A321 aircraft (four A321ceo with Sharklets and three A321neo), following the previous announcement in January this year. ANA finalizes its order for three Boeing 787-10 Dreamliners

ANA 787-10 (82)(Flt)(Boeing)(LR)

ANA-All Nippon Airways (Tokyo) and Boeing (Chicago, Seattle and Charleston) have finalized an order for three 787-10 Dreamliners, valued at approximately $900 million at list prices. With this order, originally announced as a commitment in January 2015, ANA becomes Boeing’s newest 787-10 customer and first airline in Asia to operate the entire family of 787 Dreamliners.

ANA, the launch customer of the 787, currently operates the world’s largest 787 fleet with 34 Dreamliners. The airline will further expand their future fleet with an additional 49 787s on order, leveraging the added efficiency and full flexibility of the complete 787 family.

The 787-10 is the third and longest member of the super-efficient 787 family. With its greater passenger and cargo capacity, high degree of commonality and passenger-pleasing features, the 787-10 will complement the family while setting a new benchmark for fuel efficiency and operating economics.

The 787-10 will be 25 to 30 percent more efficient than the airplanes it replaces and more than 10 percent better than anything offered by the competition for the future.

Will the Skymark reorganization pick the ANA proposal or AirAsia?

ANA (All Nippon Airways) today (February 23) submitted a bid to sponsor the reorganization of Skymark Airlines (Tokyo-Haneda). Today was the deadline set by Skymark’s financial adviser for any airline companies to submit any proposals to rescue the troubled airline according to ZipanguFlyer. In essence, ANA wants to reorganize Skymark as a feeder for ANA. A competing previous bid by AirAsia (Kuala Lumpur) would keep Skymark independent and would allow it grow its presence in Japan. Which way will Skymark and the court go?
