Alitalia and Etihad Airways finalize their โ‚ฌ1,758 million deal

Etihad Airways (Abu Dhabi) and Alitalia (2nd) (Rome) today announced that they have signed the transaction implementation agreement which will result in a โ‚ฌ1,758 million ($2.36 billion) investment to build a reinvigorated Alitalia as a competitive, sustainably profitable business.

The recapitalized Italian national airline will now be able to invest in a comprehensive strategic business plan which will see new long-haul routes from Rome and Milan, a revitalized brand, and a greater focus on Italian tourism and trade promotion. Italian travellers will be able to benefit from a wider choice of destinations while new global connections will boost inbound tourism.

Etihad Airwaysโ€™ investment of โ‚ฌ560 million will be provided through a combination of equity injections, asset purchases and other financing facilities and funding arrangements to re-structure the airlineโ€™s balance sheet. This is to be complemented by a further equity investment of โ‚ฌ300 million from existing core Alitalia shareholders, including Intesa San Paolo (โ‚ฌ88m), Poste Italiane (โ‚ฌ75m), UniCredit (โ‚ฌ63.5m), Atlantia (โ‚ฌ51m), IMMSI (โ‚ฌ10m), Pirelli (โ‚ฌ10m) and Gavio (โ‚ฌ2.5m).

Additionally, up to โ‚ฌ598 million in financial restructuring of short and medium term debt has been provided by financial institutions and existing bank shareholders. โ‚ฌ300 million of new loan facilities have also been extended by Italian financial institutions.

Etihad Airways will take a 49 per cent shareholding in Alitalia, for an investment of โ‚ฌ387.5 million. Its total investment also includes โ‚ฌ112.5 million to acquire a 75 per cent interest in Alitalia Loyalty Spa, which operates MilleMiglia, the airlineโ€™s frequent flier programme, and the purchase by Etihad Airways of five pairs of slots at Londonโ€™s Heathrow Airport valued at โ‚ฌ60 million. The slot pairs will be leased back to Alitalia on an armโ€™s length basis. The transaction is due to be completed on 31 December 2014.

Completion of the equity investment remains subject to completion by Alitalia and its key private and public stakeholders of certain conditions precedent and is also subject to final regulatory approvals.

Etihad Airways President and Chief Executive Officer, James Hogan, said: โ€œFor Etihad Airways, this is a strategic, long-term commercial investment. On completion, we are committed, with the other shareholders, to build a reinvigorated Alitalia as a competitive, sustainable and profitable business that can operate successfully in the global air travel market.

โ€œWe believe in Alitalia. It is great brand with enormous potential. With the right level of capitalization and a strong, strategic business plan, we have confidence the airline can be turned around and repositioned as a premium global airline once again.

โ€œAlitalia is the perfect ambassador for Italy and all that it represents. As we revitalise the brand, the airline will increasingly embody all that we recognise as quintessentially Italian โ€“ the history, culture, food and fashion. It must be an airline of which Italians can be proud.

โ€œHowever ultimately it has to work as a business and the goal is for sustainable profitability from 2017.โ€

Mr Hogan said he recognized that many steps had been taken by current Alitalia shareholders, management and workers to stabilise the business ahead of new investment.

โ€œAlitalia can succeed and it can grow again but it needs to build from solid foundations. We have made it clear from the start that our entire investment should be focused on supporting the implementation of the new business plan, which will see this goal come to fruition.

โ€œThe winners from this successful strategy will be Italian and international travellers, who will see better service, new routes and greater competitive choice; Alitaliaโ€™s employees, who can look forward to a brighter future over the long term, in a business which will grow again; and the Italian people, who can be proud once again of their national airline.

โ€œThere is a long road ahead, first to complete the transaction and then to deliver this new vision. Today marks a critical step on that journey and we are proud to take our place as a strategic investor in the new Alitalia.โ€Gabriele Del Torchio, Chief Executive Officer of Alitalia, said: โ€œThis is an excellent outcome for Alitalia. The comprehensive business plan provides for the revitalization of Alitaliaโ€™s brand, to embody all the things for which Italy is renowned โ€“ food, fashion, culture and lifestyle โ€“ in a โ€˜Made in Italyโ€™ premium service concept and guest experience.

This will be accompanied by the implementation of measures to drive increased inbound tourism into Italy and to support the countryโ€™s economic growth.

While maintaining the relevance of short-haul routes, the proposed network plan focuses on the profitable growth of long-haul flying from both Rome Fiumicino and Milan Malpensa. This will include flights to new destinations, increased frequency in certain existing markets and an enhanced network to Abu Dhabi to capitalise on growing traffic between Italy and the UAE, and provide Alitaliaโ€™s passengers with seamless connectivity to Etihad Airwaysโ€™ global network.

Starting from Winter 2014, Alitalia will increase frequency between Rome Fiumicino and Abu Dhabi from five per week to a daily service, and commence a new daily service between Milan Malpensa and Abu Dhabi. This flying will complement Etihad Airwaysโ€™ existing daily services on these markets and open up a range of new connecting opportunities for passengers of both airlines.

From Summer 2015, Alitalia will also begin to implement connections between other Italian cities and Abu Dhabi, with plans for direct flights from markets such as Venice, Catania and Bologna.

Rome Fiumicino will emerge as a larger European intercontinental hub, with up to five new routes over the next four years, while long-haul flights from Milan Malpensa will more than double to 25 flights a week by 2018. Alitaliaโ€™s widebody fleet is planned to grow by a third, while its narrowbody fleet will be rightsized to meet the requirements of the new network plan.

Members of the MilleMiglia frequent flier program will be able to โ€˜earn and burnโ€™ on Etihad Airways and partner airlines, with future integration of the programmes planned.

While network integration and optimization will deliver top-line revenue growth for Alitalia, the cost synergies inherent in the partnership will provide substantial opportunities. These include streamlined hub operations, and joint procurement in the areas of aircraft, engines, maintenance-repair-operations, training, catering, ground-handling and fuel. The partnership will also pave the way for the redesigning and automating processes and working arrangements in line with best practice, and the adoption of leading IT platforms.

To better serve the Italian cargo market, which is the third largest in Europe, Alitaliaโ€™s cargo business will be relaunched and expanded, with the establishment of a centre of excellence in Northern Italy, investment in handling capabilities at Italian airports, and the optimization of an integrated cargo network.

James Hogan said: โ€œItaly is a hugely important market for Etihad Airways, from both trade and tourism points of view. The UAE is Italyโ€™s top trading partner in the Middle East and North Africa region, and is home to more than 10,000 Italian citizens and 300 Italian companies.

โ€œThe possibilities when we knit together our network with those of our existing equity partners, including airberlin, Air Serbia, Etihad Regional, Jet Airways, Virgin Australia, Air Seychelles and Aer Lingus, and of course our strategic codeshare partner, KLM-Air France, will provide the most compelling customer offering.โ€

Etihad Airways currently operates daily services from Abu Dhabi to Rome and Milan, which complement Alitaliaโ€™s five flights a week from Rome to Abu Dhabi. The two airlines also codeshare to a total of 31 other destinations.

Alitalia is resuming Rome-Marseille service on October 26

Alitalia (2nd) (Rome) starting on October 26ย is resuming Rome-Marseille service, after 16 years with Airbus A319 aircraft. The route is being restored after a 16-year absence per Airline Route.ย Alitalia last operated this route in October 1998 with ATR 72s.

Here is summary of new routes this summer:

In the summer season Alitalia’s network grew with four new direct connections:

From Venice to Tokyo
From Rome Fiumicino to Comiso and Skopje, Capital of Macedonia.
From Milan Linate to Warsaw and Prague
From Alghero to Turin

Seasonal flights:

Seasonal flights will operate from Rome to Thessaloniki. Seasonal flights from Rome Fiumicino Airport to Los Angeles and Chicago will began in May.

June to September:

from Rome and Milan Linate to Lampedusa and Pantelleria;
from Rome to Ibiza, Palma de Mallorca and Rhodes.

July to September service will resume from Naples to Olbia.

New summer routes will operate in August:

from Milan Malpensa to Ibiza and Rhodes;
from Milan Linate to Athens, Thessaloniki, Heraklion and Copenhagen (the last starting from June);
from Rome to Menorca, to Mykonos and Heraklion.

EasyJet to add 19 new routes

EasyJet (UK) (easyJet.com) (London-Luton) is adding 19 new routes, due to start flying this autumn, across the EasyJet network including nine new UK services. These new routes will provide over 390,000 additional seats across the EasyJet network, with over 144,000 of these being to and from the UK.

With the overwhelming popularity of easyJetโ€™s current flights to Reykjavik, Iceland, the airline has launched two further routes to the capital. Over 30,000 passengers are expected to use Irelandโ€™s only direct scheduled flights from Belfast International airport alone which join easyJetโ€™s current UK connections from Bristol, London Luton, Edinburgh and Manchester airports. Reykjavik also becomes destination number 107 from London Gatwick โ€“ easyJetโ€™s largest base.

The brand new connection will launch from Belfast International on December 12, 2014 and will operate twice per week, throughout the year to the Icelandic capital of Reykjavik (via Keflavik).

The route will be operated using a 156 seater Airbus A319 and easyJet expects to carry around 30,000 passengers to Reykjavik during the first 12 months.

There are three brand new EasyJet destinations from London Luton to Naples in Italy, Basel – Switzerlandโ€™s third largest city – and Munich, the capital of Germanyโ€™s Bavaria region.

EasyJet will also offer the only direct connections from Aberdeen to Geneva, as well as flights from Glasgow to Marrakech and Edinburgh to Funchal.

Edinburgh to Funchal, Portugal is a year round service which will fly twice per week from 3 February 3, 2015.

Aberdeen to Geneva, Switzerland is a winter service operating weekly from December 13.

Glasgow to Marrakech, Morocco is a year round service operating twice per week from October 29.

In total EasyJet is now offering 33 destinations with over 2.3 million seats to and from Inverness, Aberdeen, Glasgow and Edinburgh Airports this winter โ€“ this is more than any other airline operating in Scotland.

EasyJet has already introduced four new routes to Scotland in 2014 including double daily connections between Inverness and London Gatwick and new links to Croatia and Greece from Glasgow.

Ethiopian Airlines to add Madrid on September 2

Ethiopian Airlines (Addis Ababa) will add Madrid to its route map on September 2 via Rome. The route extension will be flown with Boeing 767-300 ER aircraft.

Delta to offer year-round flights to Zurich and expanded service to Rome

Delta Air Lines (Atlanta) will offer new year-round daily service from John F. Kennedy International Airport to Zurich Airport and expanded service to Rome’s Leonardo Da Vinci International Airport.

The Zurich flight will be operated using a Boeing 767-300 ER aircraft featuring full flat-bed seats with direct aisle access in the BusinessElite cabin. Daily Zurich service will begin effective June 16, 2014 and during the summer will complement the airline’s existing service from Atlanta. Rome service will operate daily from April to October on an Airbus A330-300 aircraft, and then five times per week in November, December and March on a Boeing 767-300 ER aircraft in conjunction with Delta joint venture partner Alitalia.

Effective this winter, Delta and its joint venture partners Air France-KLM and Alitalia are also expanding service to key European hubs at Paris Charles De Gaulle International Airport and Amsterdam Schiphol International Airport from Hartsfield-Jackson Atlanta International Airport. From Atlanta, the joint venture will offer additional daily nonstop service for a total of four daily flights to both Amsterdam* and Paris, timed to provide customers with more connecting opportunities to destinations throughout Europe, the Middle East and Africa.

Beginning July 1, 2014, Delta will operate three updated Boeing 757-200 aircraft with full flat-bed seats on the trans-continental route between New York (JFK) and Los Angeles (LAX). These will be the first 757 aircraft in service to feature Deltaโ€™s previously announced upgrades including full flat-bed seats in BusinessElite on transcon flights between JFK and LAX, SFO and SEA. All trans-con flights on these routes will feature full flat-bed seats by summer 2015.

Japan Airlines to start charter flights to Rome and Milan from Haneda Airport on July 2

Japan Airlines-JAL (Tokyo) has announced it will operate charter flights departing from Tokyo (Haneda) to Rome and Milan (Malpensa) starting on July 2, 2014. The charter flights will be operated with Boeing 787-8 Dreamliners.

ANA to retire its last Boeing 747 on March 31 with JA8961

ANA (All Nippon Airways) (Tokyo) is planning to operate its last revenue flight (NH 126) with the Boeing 747-400 on March 31 between Naha, Okinawa and Tokyo (Haneda) according to ZipanguFlyer. The last revenue flight is scheduled to be operated with 747-481 (D) JA8961 (msn 25644). The last ANA Boeing 747-400s are the high-density domestic version of the Boeing 747-400 that seat 565 passengers and were developed specifically for the Japanese market.

ANA introduced the Boeing 747 (the special short range 747SR-81) with JA8134 (msn 21605) with the hand over from Boeing on December 20, 1978. The first Boeing 747-281B (JA8175, msn 23502) came later on July 2, 1986. Trans-Pacific service was then launched to Los Angeles with the new type on July 16, 1986. Finally the first Boeing 747-481 (JA8094, msn 24801) joined the ANA fleet on August 28, 1990.

The Boeing 747 has faithfully served ANA for over 35 years. It will seem strange not to see a Boeing 747 with the company.

Alitalia is asking for more money

Alitalia (2nd) (Rome) is again apparently facing a capital crunch. The Italian carrier has asked Italianย banksย to extend an existing loan agreement by 50 million euros ($68 million), according to Reuters quoting the daily Il Messaggero.

Etihad Airways meanwhile continues to negotiate with Alitalia about a possible equity investment.

Vueling Airlines announces a new base in Rome, can Alitalia survive?

Vueling Airlines (Vueling.com) (Barcelona) is expanding operations in Italy (especially Rome).

The company will launch a new Rome (Fiumicino) base next summer season starting on April 2, 2014. Vueling will launch 22 new routes fromย Romeโ€™s Fiumicino Airport throughout the summer. Vueling will ย base eight Airbus aircraft at the airport. The new destinations from Rome include Alicante, Amsterdam, Athens, Bari, Berlin, Brindisi, Brussels, Catania, Corfu, Dubrovnik, Genoa, Lamezia Terme, Munich, Mykonos, Palermo, Prague, Rhodes, Santiago de Compostela, Seville, Split, Thira (Santorini) and Turin.

Vueling is also adding new routes from Florence for the summer season.

Alitalia’s Airbus A320-200 EI-EIB makes an emergency landing in Rome

Alitalia’s (2nd) (Rome) Airbus A320-216 EI-EIB (msn 4249) while being operated on operating flight AZ 63 from Madrid to Rome (Fiumicino), the crew was forced to make an emergency landing at FCO late last night (September 29) after the right main gear failed to deploy. The 151 passengers and crew members safely evacuated the aircraft using the emergency chutes with no injuries.

Alitalia issued this statement (translated from Italian):

Rome, September 29, 2013:
This evening at 21:04, flight AZ 063, coming from Madrid, made an emergency landing in Fiumicino Airport due to failure in the right main landing gear.
No injuries also thanks to the skill of the commander of the flight, with over 15,000 flight hours in the Alitalia Group and previously as a military pilot.
The plane is an Airbus A320, constructed in June 2010.
